Vinton Louisiana

December 19, 2006

The Governing Authority of the Vinton Public Power Authority was convened in regular session in the Town Hall, Tuesday, December 19, 2006, at approximately 9:00 P.M. after full compliance as to notice and otherwise in respect to convening of said meeting with the following members present:

David T. Riggins, President

Karen Douglass, Director

William “BB” Loyd, Director

Kevin Merchant, Director

Kenneth O. Stinson, Director

Edward J. Vice, Director

ABSENT: None

ALSO PRESENT: Andre’ Buisson, Board Attorney

Melba Landry, Secretary

President Riggins called the meeting to order.

It was moved by Director Douglass to authorize the Treasurer to pay the bills for the month. The motion was seconded by Director Merchant and carried.

Upon the recommendation of the President, it was moved by Director Douglass to retain Thad Minaldi as the VPPA Attorney with a 6 month transition period with the current attorney, and to approve the following pay schedule for both attorneys:

January, February & March, 2007 – Attorney Buisson $1,000.00/month

Attorney Minaldi $500.00/month

April, May & June, 2007 – Attorney Buisson $500.00/month

Attorney Minaldi $1,000.00/month

In addition, if at the end of the 6 month transition period Attorney Buisson’s services are still needed, he will be compensated at an hourly rate to be discussed at that time. The motion was seconded by Director Merchant and carried.

There being no further business to come before the Governing Authority, it was moved

by Director Merchant that the meeting be adjourned. The motion was seconded by Director Douglass and carried.
