The President and Board of
Directors of the Vinton Public Power Authority, met in special session at the
regular meeting place of said President and Board of Directors, in the Town
Hall, Vinton, Louisiana, at 6:10 p.m., on the 28th day of September,
2009, after full compliance with all requirements as to notice and otherwise in
respect to convening of said meeting with the following members present:
Kenneth
O. Stinson, President
Harold Douga, Director
William “BB” Loyd, Director
Paul
Patin, Director
ABSENT:
ALSO PRESENT: Thad Minaldi,
Attorney
Kenneth O. Stinson,
President called the meeting to order and reported that the purpose of the
meeting was as follows:
1.
To
discuss and/or transact business pertinent to contract with rate engineer
2.
To
discuss and/or transact business pertinent to appointing bond counsel.
It
was moved by Director Douga that President Kenneth O. Stinson
Be
authorized to enter into a Professional Services Agreement with the DLP Group,
Inc., Douglas L. Phethean, P.E., for consulting
services as listed in agreement. The
motion was seconded by Director Loyd and carried.
It was moved by Director
Patin that President Kenneth O. Stinson be authorized to enter into a
Professional Services Agreement with Jones Walker, LLC, for legal services as
bond counsel. The motion was seconded by
Director Douga and carried.
It was moved by Director
Bujard that the agenda be amended to hear and item pertaining to declaring an
emergency situation in regard to the transformer that was hit by lightning and
in need of repair. The motion was
seconded by Director Loyd and the vote cast thereon was as follows:

NAYS: None
ABSENT:
Director Merchant
The President, board of Directors,
Mr. Vice and Attorney Minaldi discussed the lengthy
time period it will take to have the transformer repaired. The group also discussed the absence of a
back up transformer for the location at
The group then discussed and
recognized that this situation presents an imminent threat of destruction and
injury of life. The group also discussed
and recognized that the repair of the backup transformer, following the
advertising requirements of LSA-RS 38:2212 and the time taken for compliance
therewith, makes the threat of destruction and injury of life even more
imminent.
Accordingly, on the motion of
Director Loyd, and seconded by Director Douga, the following Notice of
Emergency be adopted and advertised. The
vote cast thereon was as follows:

NOTICE OF EMERGENCY
The
Governing Authority of the Vinton Public Power Authority hereby certifies that
an imminent threat of destruction and injury of life faces the customers of the
authority if the transformer located at
There
being no further business to come before the Governing Authority, it was moved
by Director Bujard that the meeting be adjourned. The motion was seconded by Director Patin and
carried.
